Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Legalaut (Pty) Ltd ("Legalaut", "we", "our", or "us"), a company registered in the Republic of South Africa. By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

1. Acceptance of Terms

By creating an account, accessing our platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any modifications constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify you of material changes via email or through a prominent notice on our platform.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using our services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

Legalaut provides a cloud-based legal technology platform that offers the following services:

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of our services.

3. User Obligations

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account or any other breach of security.

You retain ownership of all content you upload or create using our services. You are solely responsible for the accuracy, legality, and appropriateness of all content you submit. Legalaut does not provide legal advice, and the use of our tools does not create a solicitor-client relationship.

4. Payment Terms

4.1 Fees and Billing

Access to certain features of our platform requires a paid subscription. Fees are as set out on our Pricing page. All fees are quoted in South African Rand (ZAR) unless otherwise stated and are exclusive of Value Added Tax (VAT), which will be charged at the applicable rate.

4.2 Payment Methods

We accept payment via credit card, debit card, EFT, and other methods as indicated on our platform. You authorise us to charge the applicable fees to your chosen payment method on a recurring basis according to your subscription plan.

4.3 Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will continue to have access to the paid features until the end of your current billing period. No prorated refunds will be issued for partial billing periods.

4.4 Late Payment

If payment is not received by the due date, we reserve the right to suspend or terminate your access to paid features. We may also charge interest on overdue amounts at the rate of 2% per month or the maximum rate permitted by law, whichever is lower.

5. Intellectual Property

5.1 Our Intellectual Property

All intellectual property rights in our platform, including but not limited to software, algorithms, designs, text, graphics, logos, icons, and the compilation thereof, are owned by or licensed to Legalaut. These rights are protected by South African and international intellectual property laws.

5.2 Limited Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our services for your internal business purposes. This licence does not include the right to sublicense, resell, modify, or create derivative works of our platform.

5.3 Your Content

You retain all rights to content you upload or create using our platform. By uploading content, you grant Legalaut a non-exclusive, worldwide, royalty-free licence to use, store, and process that content solely for the purpose of providing and improving our services.

5.4 Feedback

Any feedback, suggestions, or ideas you provide to us regarding our services may be used by us without any obligation to compensate you. You hereby assign to us all rights in such feedback.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. The parties submit to the exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Pretoria, for any legal proceedings arising out of or in connection with these Terms.

Notwithstanding the foregoing, we retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.

8. Dispute Resolution

8.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the matter informally by contacting us at contact@legalautomationhub.co.za. We will endeavour to resolve any complaint within 30 business days.

8.2 Mediation

If the dispute cannot be resolved informally within 30 business days, either party may refer the dispute to mediation administered by the Arbitration Foundation of Southern Africa (AFSA) in accordance with its mediation rules. The mediation shall take place in Pretoria, South Africa.

8.3 Arbitration

If mediation fails to resolve the dispute within 60 days of the mediator's appointment, either party may refer the dispute to final and binding arbitration administered by AFSA in accordance with its arbitration rules. The arbitration shall take place in Pretoria, South Africa, and shall be conducted by a single arbitrator appointed in accordance with the AFSA rules. The language of the arbitration shall be English.

8.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action or class-wide arbitration.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account settings in our platform. Upon termination, your right to access and use our services will cease immediately. You remain responsible for any outstanding fees incurred prior to termination.

9.2 Termination by Us

We may suspend or terminate your account and access to our services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

Upon termination, we will make your data available for export for a period of 30 days, after which we may delete it. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, and dispute resolution.
